GenFlix terms & conditions.

1. Introduction

These Terms and Conditions (“Terms”) constitute a binding legal agreement between you (“User”, “Creator”, or “Viewer”) and GENFLIX PTY LTD (ACN 694 435 571) (“GenFlix”, “we”, “us”, or “our”).

By accessing the GenFlix Cinema, Studio, or any associated services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

WARNING FOR INTERNATIONAL USERS: These Terms include a binding arbitration provision and a waiver of class action rights for users outside of Australia.

2. Eligibility & account security

• Age Requirement: You must be at least 18 years old to create a GenFlix Studio account or upload content. Viewers under 18 may use the Cinema only with the supervision of a parent or guardian.
• Sanctions Compliance: You represent that you are not located in a country subject to comprehensive Australian or US government embargoes.
• Account Security: You are responsible for all activity that occurs under your credentials. GenFlix is not liable for any loss arising from unauthorised access to your account.

3. The creator license (your art)

We do not claim ownership of your film. You remain the copyright owner of any video, audio, or text you upload (“Creator Content”). However, to operate GenFlix and generate our data, we need specific permissions:

• The Operation License: By uploading Creator Content, you grant GenFlix a worldwide, non-exclusive, royalty-free, transferable license to host, store, stream, display, transcode, and distribute your content via the Service.
• The Analysis License: You explicitly grant GenFlix the right to analyse, process, and parse your Creator Content using internal and third-party AI systems to generate scores, metadata, embeddings, and feature vectors (“Analysis”).
• Future Monetisation: You acknowledge that GenFlix may, in the future, offer subscription or pay-per-view access to the Service. You grant us the right to monetise the distribution of your content. Note: Any revenue sharing with creators will be governed by a separate “Creator Monetisation Addendum” which will be presented to you before such features go live. Currently, no royalties are owed for free streaming.

4. GenFlix IP & commercialisation of data

This section defines what GenFlix owns and how we may monetise the intelligence derived from your work.

Ownership of Outputs: While you own your video files, GenFlix owns all right, title, and interest in and to the “GenFlix Outputs.” GenFlix Outputs include, but are not limited to:

• The GenFlix Certification Index (GCI) scores and sub-scores;
• Generated metadata, tags, and prompt-consistency analysis;
• Director’s Reports, heatmaps, and technical diagnostics;
• Audience behavioural data (retention curves, click-through rates, and sentiment analysis).

Right to Commercialise Intelligence: You acknowledge and agree that GenFlix has the absolute right to license, sell, or otherwise commercialise the GenFlix Outputs and Aggregated Audience Data to third parties, including AI research labs, foundation model providers (e.g., OpenAI, Midjourney), and advertisers.

Example: We may sell a dataset of “High-Retention Sci-Fi Pacing” to a model provider to help them understand what makes a video engaging.

No Royalties on Data: You are not entitled to compensation for GenFlix’s monetisation of these derived datasets or analytics.

Protective Covenants (Pixels vs. Signals):

• We Sell Signals: We reserve the right to sell the data about your film (scores, metrics, and prompt analysis).
• We Don’t Sell Pixels: Without your explicit additional consent, we will not sell your raw video files (the “Creator Content”) to third parties for the specific purpose of training generative pixel-creation models. Your art remains your art; the intelligence about your art belongs to GenFlix.

5. The GenFlix Champion Grant (awards)

GenFlix may, at its sole discretion, award financial grants (e.g., “The GenFlix Champion Grant”) to creators based on performance metrics.

• Currency & Value: The GenFlix Champion Grant is 1,000 Australian Dollars ($1,000 AUD). International payments will be made in the winner's local currency equivalent, calculated using the mid-market spot rate on the day the funds are released.
• No Employment: Receiving a grant does not create an employment, agency, or contractor relationship between you and GenFlix.
• Tax Liability: You are solely responsible for any taxes applicable to grant funds in your local jurisdiction.
• Disqualification: GenFlix reserves the right to disqualify any film from grant eligibility if we detect score manipulation (botting), copyright infringement, or a breach of these Terms. We may audit viewer data before releasing any funds.

6. Acceptable use & content standards

GenFlix is a curated network. We reserve the right to remove any content at any time, for any reason, including but not limited to:

• Copyright Infringement: Uploading content you do not own or have the rights to (including unlicensed music).
• Deepfakes/Non-Consensual Likeness: Content depicting real people (public figures or private citizens) without their consent, in a manner that is defamatory or misleading.
• Illegal Acts: Content promoting violence, terrorism, or illegal activities under Australian or International law.
• Technical Failure: Content that fails to meet the minimum technical requirements of the GenFlix Certification Index (GCI < 50).

7. Fees and subscriptions

Currently, GenFlix is a free service. We reserve the right to introduce subscription fees for Viewers or service fees for Studio tools in the future. We will provide reasonable notice before any charges are implemented.

8. Indemnity (your responsibility)

You agree to indemnify, defend, and hold harmless GenFlix, its officers, directors, and employees from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

• Your use of the Service;
• Your violation of these Terms;
• Your Creator Content (e.g., if a third party sues GenFlix claiming your film infringes their copyright, defames them, or violates their privacy).

9. Disclaimers & limitation of liability

• “As Is” Service: The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee that the Service will be uninterrupted, secure, or free from errors.
• No Commercial Guarantees: The GCI Score is an analytical tool. A high score does not guarantee commercial success or distribution deals.
• Limitation of Liability: To the maximum extent permitted by law, GenFlix shall not be liable for any indirect, incidental, special, or consequential damages (including loss of data or content).

Australian Consumer Law (ACL): Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. Nothing in these terms excludes your rights under the ACL.

10. Governing law & dispute resolution

• Governing Law: These Terms are governed by the laws of Queensland, Australia.
• Dispute Resolution: For any dispute, you agree to first contact us at contact@genflix.ai to attempt to resolve the issue informally.
• Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Brisbane, Queensland.
• Class Action Waiver: To the extent permitted by applicable law, you agree to resolve disputes with GenFlix on an individual basis and waive your right to participate in a class action lawsuit.

11. Changes to terms

We may update these Terms from time to time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
